Effective Date: August 7, 2026
These Terms of Service include the Terms and Conditions of Sale and Website Terms of Use applicable to purchases from and use of Automotive Equipment Solutions d/b/a You Lift Me Up (“Seller,” “we,” “us,” or “our”) through www.uliftmeup.com, by telephone, in person, by invoice, quotation, electronic communication, or through any other sales channel operated by Seller.
As used in these Terms, “Buyer,” “Customer,” “you,” and “your” mean the individual or entity purchasing products or services from Seller or using our website.
By placing an order, accepting a quotation or invoice, paying a deposit or invoice, authorizing delivery or installation, or using this website, you acknowledge that you have read, understand, and agree to these Terms.
These Terms and Conditions of Sale apply to the sale of automotive service equipment, vehicle lifts, shop equipment, tools, accessories, replacement parts, supplies, and related products (collectively, “Equipment”) and, where applicable, delivery, installation, service, technical support, and other services provided or arranged by Seller.
These Terms are incorporated into all quotations, invoices, purchase orders accepted by Seller, electronic orders, sales agreements, delivery agreements, and installation agreements between Buyer and Seller.
If a separate written agreement signed by Seller expressly conflicts with these Terms, the signed written agreement will control only with respect to the conflicting provision.
Terms or conditions contained in a Buyer purchase order or other Buyer document that are different from or in addition to these Terms will not apply unless expressly accepted in writing by an authorized representative of Seller.
Unless otherwise stated in writing, quotations issued by Seller are valid for 10 calendar days from the date issued.
Seller may withdraw or revise an unaccepted quotation at any time.
Product availability, freight charges, manufacturer pricing, tariffs, taxes, and other costs may change before an order is accepted.
Prices and product information displayed on www.uliftmeup.com, advertisements, marketplaces, quotations, or other materials are subject to change without notice.
Seller makes reasonable efforts to ensure pricing and product information are accurate but reserves the right to correct typographical errors, pricing errors, specification errors, freight calculations, or other mistakes.
If an error affects an order already submitted, Seller may contact Buyer before fulfillment to provide the corrected information. Buyer may then accept the correction or cancel the affected item unless the order is otherwise noncancelable under these Terms.
Unless expressly stated otherwise, prices do not include applicable:
sales or use taxes;
freight or shipping charges;
lift-gate, residential, limited-access, or re-delivery fees;
unloading charges;
storage charges;
installation charges;
electrical work;
concrete or structural work;
permits or inspections;
garage-door modifications;
disposal or removal of existing equipment; or
other services not specifically included in Seller’s written quotation or invoice.
Buyer is responsible for all applicable sales, use, excise, local, state, federal, or similar taxes or governmental charges associated with the transaction, except taxes imposed directly on Seller’s income.
Tax-exempt customers must provide acceptable exemption documentation before completion of the transaction.
Unless otherwise agreed to by Seller in writing, payment is due according to the terms stated on Seller’s quotation, invoice, order confirmation, or website checkout.
Seller may require full payment before shipment, delivery, installation, or release of Equipment.
Orders paid by check, ACH, financing, or other noncash methods may be held until payment has cleared or funding has been confirmed.
Buyer may not deduct, offset, charge back, or withhold amounts due to Seller except as permitted by law or expressly authorized by Seller in writing.
Any past-due amount may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.
Buyer shall also be responsible, to the extent permitted by law, for reasonable collection costs incurred by Seller in collecting undisputed past-due amounts, including court costs and reasonable attorney fees.
Receipt of an order does not constitute final acceptance by Seller.
Seller reserves the right to refuse, limit, or cancel an order before fulfillment for reasons including product unavailability, pricing or listing errors, suspected fraud, payment issues, shipping limitations, manufacturer restrictions, or other legitimate business reasons.
If Seller cancels an order after receiving payment and Buyer is not otherwise in default, Seller will refund the amount paid for the canceled portion of the order.
Buyer is responsible for selecting Equipment appropriate for Buyer’s intended application.
Product dimensions, capacities, colors, specifications, illustrations, and descriptions are based primarily on information supplied by manufacturers and may change without notice.
Vehicle lift capacity ratings do not mean that every vehicle weighing less than the stated lift capacity can be safely lifted. Vehicle dimensions, center of gravity, lifting points, weight distribution, adapters, arm reach, ceiling height, floor construction, and other factors must also be considered.
Buyer is responsible for verifying that Equipment is appropriate for Buyer’s vehicle, facility, electrical service, ceiling height, floor, intended application, and other site-specific requirements before installation or use.
Unless Seller expressly provides a separate written warranty, Equipment sold by Seller is covered only by the applicable warranty, if any, provided by the Equipment manufacturer.
Seller will reasonably assist Buyer with manufacturer warranty claims for Equipment purchased from Seller, including communicating with the manufacturer and helping identify required warranty parts or documentation.
Manufacturer warranty coverage, duration, labor coverage, freight coverage, exclusions, registration requirements, and claim procedures vary by manufacturer.
Seller cannot expand or modify a manufacturer’s warranty unless Seller expressly agrees to do so in writing.
Warranty claims may require photographs, videos, serial numbers, model numbers, proof of purchase, diagnostic information, return of defective components, or other documentation requested by Seller or the manufacturer.
Unless otherwise covered by the manufacturer’s warranty or expressly agreed by Seller in writing, labor, travel, removal, reinstallation, freight, diagnostic time, downtime, lost income, and similar expenses are the responsibility of Buyer.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY SELLER, SELLER DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
NOTHING IN THESE TERMS IS INTENDED TO ELIMINATE ANY WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.
Delivery dates and shipment estimates are estimates only unless Seller expressly guarantees a delivery date in writing.
Seller will use commercially reasonable efforts to fulfill orders within the anticipated time frame but is not responsible for delays caused by manufacturers, distributors, freight carriers, weather, accidents, labor shortages, supply-chain disruptions, governmental action, natural disasters, emergencies, Buyer delays, or circumstances reasonably outside Seller’s control.
Buyer is responsible for providing accurate delivery information and informing Seller before shipment of conditions including:
residential delivery;
limited-access locations;
farms or rural properties;
schools or government facilities;
construction sites;
locations requiring appointments;
locations without a loading dock or forklift;
narrow roads or restricted truck access; and
other unusual delivery conditions.
Additional carrier charges caused by inaccurate or incomplete delivery information may be charged to Buyer.
Buyer or Buyer’s representative must inspect freight before signing the carrier’s delivery receipt.
Visible damage, missing packages, damaged packaging, or shortages should be clearly noted on the carrier’s delivery receipt before the driver leaves.
Buyer should photograph the shipment, packaging, damaged areas, shipping labels, and delivery receipt.
Buyer must notify Seller of visible freight damage, shortages, or shipping errors as soon as reasonably possible and preferably within 48 hours of delivery.
Concealed freight damage should be reported immediately after discovery.
Failure to inspect a shipment or document freight damage may affect the ability of Seller, Buyer, or the carrier to pursue a freight claim.
Seller will reasonably assist Buyer with freight claims for shipments arranged by Seller, but carrier claim approval remains subject to applicable carrier rules and shipping terms.
Title and risk of loss will transfer in accordance with the applicable shipment, delivery, or written sales terms and applicable law.
When Equipment is personally delivered by Seller or Seller’s personnel, risk of loss generally transfers upon completed delivery to Buyer or Buyer’s authorized representative.
When Equipment is shipped by a third-party freight carrier, applicable freight terms and law will govern transfer of risk.
For Equipment picked up by Buyer or Buyer’s agent, Buyer is responsible for providing a vehicle, trailer, restraints, and load-securing equipment appropriate for transporting the Equipment.
Once Equipment has been loaded and accepted by Buyer or Buyer’s carrier, Buyer is responsible for properly securing, transporting, unloading, storing, and protecting the Equipment.
Seller may decline to load Equipment when Seller reasonably determines that the proposed vehicle, trailer, equipment, or loading method presents a safety risk.
ALL SALES ARE FINAL UNLESS SELLER EXPRESSLY APPROVES A RETURN OR CANCELLATION IN WRITING.
Seller is not obligated to accept returned Equipment merely because Buyer changed their mind, ordered the wrong Equipment, no longer needs the Equipment, or cannot install or use the Equipment at the intended location.
Installed, assembled, used, damaged, modified, special-order, custom-order, discontinued, clearance, electrical, or opened parts generally may not be returned.
If Seller authorizes a return, Buyer must follow Seller’s return instructions and obtain any required return authorization before shipping or delivering the Equipment.
Authorized returns may be subject to:
manufacturer restocking fees;
Seller restocking fees;
original freight charges;
return freight charges;
packaging expenses; and
deductions for missing, damaged, used, or nonresalable items.
Shipping and delivery charges are nonrefundable unless Seller agrees otherwise in writing.
Nothing in this section eliminates any rights Buyer may have under applicable law or an applicable manufacturer warranty.
Special-order, made-to-order, modified, custom-configured, or non-stock Equipment may not be canceled or returned after Seller has placed the order with the manufacturer or supplier unless Seller and the manufacturer or supplier approve the cancellation.
Buyer is responsible for manufacturer cancellation charges, restocking charges, freight expenses, and other reasonable costs resulting from an approved cancellation.
Seller may provide vehicle lift and automotive equipment installation services in Seller’s service area.
Installation is included only when specifically stated on Seller’s quotation, invoice, or written agreement.
Installation pricing assumes reasonable site conditions and access unless otherwise stated.
Additional charges may apply when unexpected conditions, additional labor, additional travel, equipment rental, concrete issues, electrical issues, structural issues, missing parts, site-access problems, or other conditions increase the work required.
Seller may stop or postpone installation if Seller reasonably believes the site or requested installation presents a safety concern or fails to meet manufacturer requirements.
Unless specifically included in Seller’s written scope of work, Buyer is responsible for ensuring the installation location is ready before Seller or an installer arrives.
Buyer responsibilities may include:
providing adequate concrete thickness, strength, condition, and reinforcement;
confirming the concrete has adequately cured;
ensuring the floor is reasonably level and suitable for anchoring;
providing adequate ceiling height and overhead clearance;
providing required electrical service;
relocating garage-door tracks or openers when necessary;
relocating plumbing, HVAC equipment, lighting, conduit, or other obstructions;
obtaining permits or governmental approvals when required;
providing unobstructed access to the installation area;
removing vehicles, equipment, storage, or debris from the work area; and
complying with manufacturer site requirements.
Seller may rely on information supplied by Buyer regarding concrete thickness, concrete strength, utilities, hidden structures, and other site conditions unless Seller has expressly agreed in writing to independently verify those conditions.
Vehicle lifts require suitable concrete and proper anchoring.
Buyer is responsible for confirming that the slab and installation location satisfy the applicable manufacturer’s requirements unless Seller expressly agrees in writing to perform that evaluation.
Seller and its installers are not responsible for hidden conditions that could not reasonably be identified before drilling, including concealed reinforcing steel, post-tension cables, plumbing, electrical lines, voids, underground utilities, or deficiencies within or beneath the slab.
Buyer must inform Seller before installation if Buyer knows or suspects that the slab contains post-tension cables, radiant heating, embedded utilities, or other concealed systems.
If unsuitable concrete or a concealed condition is discovered during installation, work may be suspended until the condition is corrected.
Additional labor, travel, materials, engineering, concrete work, or rescheduling caused by unsuitable site conditions may result in additional charges.
Unless expressly included in writing, electrical wiring, electrical panel work, circuit installation, compressed-air connections, hydraulic plumbing beyond normal Equipment assembly, structural modification, concrete repair, garage-door modification, and similar trade work are not included in Seller’s installation price.
Such work should be performed by properly qualified or licensed persons where required by applicable law.
Seller may provide contact information for independent contractors capable of performing related work.
For customers outside Seller’s normal installation area, Seller may provide contact information for independent installers or other service providers familiar with automotive equipment.
Unless expressly stated otherwise in writing, a referred installer or contractor is an independent business and not an employee, partner, joint venturer, or agent of Seller.
Any agreement for work performed directly between Buyer and an independent contractor is between Buyer and that contractor.
Seller does not guarantee the availability, pricing, scheduling, workmanship, licensing, insurance, or performance of an independent contractor unless Seller has separately contracted with Buyer to provide and be responsible for that service.
When specifically purchased or included in writing, Seller may provide enhanced or “white-glove” services that can include delivery, unloading, placement, assembly, installation, setup, customer orientation, or coordination of related services.
The exact services included are determined by the applicable quotation or invoice.
Services not expressly identified as included are not part of the white-glove service package.
Buyer or Buyer’s representative should inspect completed installation work when reasonably possible.
Questions or concerns regarding installation should be reported to Seller promptly so Seller has a reasonable opportunity to inspect and, when appropriate, correct the issue.
Buyer may not modify, relocate, disassemble, repair, or permit another party to alter installed Equipment and then hold Seller responsible for conditions caused by the subsequent work.
Buyer is responsible for reading and following all manufacturer operating instructions, safety warnings, maintenance requirements, inspection procedures, and capacity limitations before using Equipment.
Only trained and authorized persons should operate vehicle lifts and other automotive service Equipment.
Buyer is responsible for ongoing inspection, maintenance, adjustment, lubrication, repair, and safe operation after delivery and installation except where Seller has expressly agreed to perform those services.
Safety devices must not be bypassed, disabled, removed, or modified.
Equipment should not be overloaded or used for applications inconsistent with manufacturer instructions.
Seller is not responsible for problems caused by unauthorized modifications, improper repairs, misuse, abuse, overloading, accident, improper maintenance, relocation, reinstallation by another party, or failure to follow manufacturer requirements.
Relocation of a vehicle lift or other anchored Equipment may require new anchors, inspection, adjustment, or replacement components.
Seller may provide reasonable product and warranty support for Equipment purchased from Seller.
On-site service, diagnostic labor, travel, repair labor, removal, reinstallation, or other technical services are included only if specifically stated in writing or covered by an applicable warranty.
Seller may charge its then-current service and travel rates for work not covered by warranty or another written agreement.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELLER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE SALE, DELIVERY, INSTALLATION, SERVICE, POSSESSION, USE, MISUSE, FAILURE, OR INABILITY TO USE EQUIPMENT.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF USE, VEHICLE DOWNTIME, SHOP DOWNTIME, RENTAL COSTS, TOWING COSTS, OR OTHER COMMERCIAL LOSSES.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
Buyer assumes responsibility for determining whether the Equipment purchased is suitable for Buyer’s intended application, facility, vehicles, and operating conditions.
Recommendations made by Seller are based on information supplied by Buyer and available manufacturer specifications.
Buyer must provide accurate information when requesting product recommendations.
Buyer is responsible for complying with laws, regulations, workplace safety requirements, inspection requirements, building codes, permitting requirements, and manufacturer requirements applicable to Buyer’s ownership and operation of the Equipment.
Seller does not represent that purchase of a particular piece of Equipment, by itself, satisfies all regulatory requirements applicable to Buyer’s business or facility.
To the maximum extent permitted by law, Buyer agrees to indemnify and hold Seller harmless from third-party claims, damages, liabilities, costs, and reasonable attorney fees resulting from Buyer’s misuse, unauthorized modification, improper maintenance, unsafe operation, unlawful use, or installation or relocation performed by Buyer or another party, except to the extent caused by Seller’s own liability that cannot lawfully be disclaimed.
Seller will not be liable for delay or failure to perform caused by circumstances reasonably beyond Seller’s control, including severe weather, fire, flood, natural disaster, pandemic, epidemic, transportation disruption, freight delay, supply-chain interruption, manufacturer delay, labor dispute, shortage, war, terrorism, civil disturbance, governmental action, utility interruption, or similar events.
Products sold by Seller may be subject to United States export-control laws and regulations.
Buyer is responsible for complying with applicable export, re-export, sanctions, and trade-control requirements.
Seller may refuse or cancel a transaction that Seller reasonably believes would violate applicable law.
These Terms, together with the applicable quotation, invoice, order confirmation, written scope of work, warranty information, and any other document expressly incorporated by Seller, constitute the agreement between Buyer and Seller concerning the applicable transaction.
Representations or promises not contained in the Agreement are not binding unless confirmed in writing by an authorized representative of Seller.
Failure by Seller to enforce any provision of these Terms on one occasion does not waive Seller’s right to enforce that provision on another occasion.
A waiver is effective only if made in writing by an authorized representative of the party granting the waiver.
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
These Terms and any sale or service transaction between Buyer and Seller will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
To the extent permitted by applicable law, any legal action arising from these Terms or a transaction with Seller shall be brought in a court of competent jurisdiction serving the county in Georgia in which Seller’s principal place of business is located, unless the parties agree otherwise in writing.
Buyer agrees that orders, invoices, acknowledgments, contracts, records, signatures, approvals, and other communications may be created, transmitted, accepted, or stored electronically.
Clicking an “I Agree,” “Accept,” “Submit Order,” “Pay,” or similar button or electronically accepting an invoice or agreement may constitute Buyer’s electronic acceptance and signature to the extent permitted by applicable law.
